Terms of Service

These Terms of Service govern access to and use of LoanConsole, including the website at loanconsole.app, the LoanConsole application, and related services. By creating an account, accepting an invitation, purchasing a subscription, or using the Service, you agree to these Terms.
If you use LoanConsole for an organization, you represent that you have authority to accept these Terms on its behalf. In that case, “you” and “your” refer to the organization.
1. Eligibility and business use
You must be at least 18 years old and legally able to enter into these Terms. LoanConsole is provided for business use. You are responsible for ensuring that your use of the Service is permitted in every jurisdiction relevant to your lending and servicing activity.
2. What LoanConsole is — and is not
LoanConsole is software for organizing and calculating the servicing record of private real-estate loans. It can help you maintain loan terms, borrower and investor records, accruals, invoices, payments recorded outside the Service, reserves, fees, statements, payoff calculations, audit history, period close, and exports.
LoanConsole is not a lender, broker, bank, payment processor, money transmitter, custodian, collection agency, law firm, accounting firm, tax adviser, investment adviser, or credit-reporting agency. LoanConsole does not originate, fund, collect, or service loans on your behalf and is not your servicer of record. It does not initiate borrower payments, move investor funds, connect to customer bank accounts, or hold client money.
3. Your lending and servicing responsibilities
You remain responsible for your loans, counterparties, underwriting, lending decisions, notices, disclosures, payment movement, collections, licensing, regulatory compliance, accounting treatment, tax treatment, legal documents, and communications.
You must review calculations, generated documents, imports, and outputs before relying on or delivering them. You are responsible for determining whether your loan documents and applicable law permit the terms, fees, rates, default treatment, day-count conventions, and servicing practices you enter.
4. Accounts and security
You must provide accurate account information and keep it current. You are responsible for protecting credentials, recovery codes, and devices used to access the Service.
You are responsible for activity performed through your organization’s accounts and for assigning appropriate Reviewer, Admin, and Owner roles. Notify us promptly if you suspect unauthorized access.
We may require additional authentication, revoke sessions, or restrict access when reasonably necessary to protect the Service, your organization, or other users.
5. Trial, plans, and billing
New organizations receive a 10-day free trial without a credit card. The trial includes the same capabilities and capacity limits as Starter.
Starter is $99 per month and includes up to 25 tracked loans and 3 team seats. Pro is $249 per month and includes unlimited tracked loans and up to 25 team seats. For plan capacity, a "tracked loan" means any current or completed loan retained in the workspace. Voided records and superseded predecessor versions do not count twice. Current plans provide the same product capabilities; capacity differs.
Paid subscriptions are billed in advance through Stripe and renew automatically until canceled. You may change plans or cancel through the billing settings. Cancellation takes effect at the end of the current paid billing period. Except where required by law, fees are non-refundable and partial billing periods are not credited.
Taxes may be added where required. If payment fails or a subscription lapses, the workspace may become read-only after any applicable grace period. Viewing, billing access, and supported data exports remain available during that read-only state.
6. Customer data
You retain ownership of the information and documents you submit to LoanConsole. You grant LoanConsole a limited right to host, process, reproduce, and transmit that data only as needed to provide, secure, support, and improve the Service or comply with law.
You represent that you have the right and lawful basis to provide the information you upload, including information about borrowers, guarantors, investors, properties, payments, and other third parties.
When LoanConsole processes borrower, investor, or similar information on your behalf, you generally determine why and how that information is used. Our handling of information is described in the Privacy Policy.
7. Imports, calculations, and generated documents
Imports and calculations depend on the information you provide and the settings selected for each loan. A successfully validated import does not establish that the source information is legally sufficient, complete, or economically correct.
Generated invoices, statements, payoff letters, year-end records, reports, and exports are operational records. They are not legal, tax, accounting, investment, or regulatory advice. You must review them before use or delivery.
8. Acceptable use
You may not:

use the Service unlawfully or to facilitate unlawful lending, servicing, collection, discrimination, fraud, or deceptive conduct;

upload information you do not have the right to use;

attempt to access another organization’s workspace or another person’s portal;

bypass authentication, role, billing, capacity, or security controls;

introduce malicious code, disrupt the Service, or probe it without authorization;

reverse engineer or copy the Service except where applicable law does not allow that restriction;

resell, sublicense, or provide the Service to third parties outside your organization without written permission;

use automated access in a way that materially burdens or disrupts the Service.
9. LoanConsole intellectual property
LoanConsole and its software, design, documentation, branding, and other materials are owned by LoanConsole or its licensors. These Terms provide a limited, non-exclusive, non-transferable right to use the Service during your authorized account term.
If you submit feedback, you permit us to use it without restriction or payment, provided we do not identify you publicly without permission.
10. Third-party services
LoanConsole uses third-party providers for hosting, database infrastructure, email, billing, monitoring, and related operations. Some actions may redirect you to a provider such as Stripe. Those providers may apply their own terms and privacy practices.
We are not responsible for services you independently connect to or use outside LoanConsole, including banks, accounting systems, email clients, document-signing services, or other lending tools.
11. Suspension and termination
You may stop using LoanConsole and cancel your subscription at any time. We may suspend or terminate access for material breach, unlawful use, security risk, nonpayment, or conduct that threatens the Service or others.
Before cancellation, export the records you need. Where available, exports remain accessible during a billing-related read-only period.
After termination, we may retain information for a reasonable period for export support, backups, security, fraud prevention, billing, disputes, audit integrity, and legal obligations. Deletion requests are subject to those permitted retention needs.
12. Service changes and availability
We may add, modify, or discontinue features and may update plan capacity or pricing prospectively. Material changes affecting an active subscription will be communicated as appropriate.
We use commercially reasonable efforts to operate the Service, but uninterrupted or error-free availability is not guaranteed. Maintenance, provider outages, security events, and circumstances outside our control may affect access.
13. Disclaimers
The Service is provided “as is” and “as available” to the maximum extent permitted by law. We disclaim warranties of merchantability, fitness for a particular purpose, non-infringement, and that the Service will satisfy every legal, regulatory, accounting, or operational requirement applicable to you.
LoanConsole supports — but does not replace — your professional judgment, internal controls, legal review, accounting records, or compliance program.
14. Limitation of liability
To the maximum extent permitted by law, LoanConsole will not be liable for indirect, incidental, special, consequential, exemplary, or punitive damages, or for lost profits, lost revenue, lost opportunities, loss of goodwill, or loss of data.
LoanConsole’s aggregate liability arising from or relating to the Service will not exceed the fees you paid for the Service during the 12 months before the event giving rise to the claim.
Some jurisdictions do not allow certain limitations, so portions of this section may not apply to you.
15. Changes, governing law, and contact
We may update these Terms. Material changes will be communicated through the Service or by email where appropriate. Continued use after the effective date of updated Terms constitutes acceptance.
These Terms are governed by the laws of the State of Texas, without regard to conflict-of-law principles.
